TORONTO — Roots Corp. has entered into a go-private transaction led by Marquee Brands, valuing the company at $4.10 per share. This strategic move marks a significant shift for the Canadian lifestyle brand, known for its high-quality apparel and distinctive branding.
As part of this transaction, Marquee Brands has teamed up with JM&A Design and Development Inc., an operating company spearheaded by Joe Mimran, the founder of several successful clothing brands including Joe Fresh. In addition, retail veteran Frank Rocchetti will play a crucial role within the partnership.
Roots CEO Meghan Roach expressed her optimism about the deal, stating, “This transaction brings together Marquee Brands’ global brand-building platform and JM&A’s operational leadership to position Roots for its next chapter of growth.”
The agreement dictates that JM&A will acquire all issued and outstanding common shares of Roots. Furthermore, JM&A will take charge of the design, manufacturing, and distribution of Roots’ apparel, along with overseeing the company's retail and e-commerce operations in both Canada and the United States.
Heath Golden, the CEO of Marquee Brands, noted the potential for expansion, saying, “With that foundation in place, we see significant global opportunity to extend Roots into new categories, markets, and consumer segments, while remaining true to all that makes the brand distinctive.” This clearly indicates a strategic vision to diversify and grow Roots' offerings in alignment with evolving market demands.
Earlier in March, Roots announced a strategic review, during which the board indicated it would explore a range of options, including the possibility of a sale. This process aimed at maximizing shareholder value indicated a proactive approach to the company's future. Following the commencement of this review, the retailer maintained a low profile, with minimal updates provided to the public. In June, during the announcement of its first-quarter earnings, Roach noted that the company would refrain from public updates until the board ratified a transaction or felt it necessary to disclose further information as required by law.
The go-private transaction is projected to finalize in the fourth quarter of the year, though it remains subject to court and regulatory approvals, as well as a variety of closing conditions. A crucial shareholder vote regarding the deal is expected to take place in October, paving the way for the transition.
